Legal
Effective date: October 27, 2026
These terms are an agreement between you and Digital Coders LLC (“Digital Coders”, “we”, “us”), a Washington limited liability company. Part A applies to everyone who uses digitalcodersusa.com (the “Site”), including the free AI visibility check. Part B also applies if you buy our services. Part C applies to both. If you do not agree, do not use the Site or our services.
A1. The free AI visibility check. The free check is general information, not professional advice. It reports what certain AI tools said in response to certain questions at the time we checked. AI answers change often and vary by user, location and time, so your results may differ. The check is free, creates no obligation for either of us, and comes with no guarantee of accuracy or future results. We may decline, limit or stop offering free checks at any time.
A2. Information you submit. You agree that the information you submit is accurate and that you are allowed to share it. Do not submit anyone else’s personal information without their permission.
A3. Our content. The Site and its content, including text, graphics, reports, templates and code, belong to Digital Coders or its licensors and are protected by law. You may view and use them to evaluate our services. You may not copy, republish, sell or create derivative works from them without our written permission.
A4. Acceptable use. You may not use the Site to break any law; send spam or harmful code; interfere with or disrupt the Site; scrape or copy it with automated tools; submit false information; or impersonate anyone.
A5. Third-party sites and tools. The Site and our reports may link to or mention third-party websites, AI tools and platforms. We do not control them and are not responsible for their content, availability or practices.
A6. No warranty for the Site. The Site and the free check are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
A7. Limit on liability for the Site. To the fullest extent permitted by law, our total liability for any claim arising from the Site or a free check is limited to US$100, and we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities.
A8. Your responsibility. You agree to defend, indemnify and hold harmless Digital Coders and its members, contractors and service providers from claims, losses and costs, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these terms.
B1. Your order. Our services are described in the proposal, order confirmation or invoice you accept (the “Order”). The Order and these terms together are the agreement between us; if they conflict, the Order controls for scope, price and dates. You accept by signing, clicking to accept or paying. You confirm that you are buying for a business, not as a consumer, and that you are authorized to bind it.
B2. How we work. We perform our services with reasonable care and skill. We deliver them using AI tools with human review, and work may be performed by our contractors, including outside the United States. You consent to this. We may refuse any task we reasonably believe is unlawful, deceptive or against a platform’s policies, such as creating fake reviews or copy-paste location pages.
B3. No guarantee of results. We do not control Google, OpenAI, Microsoft, Perplexity or any other AI tool, search engine, directory or platform, and they change how they work without notice. We do not guarantee any ranking, mention, recommendation, traffic, leads, calls, sales or revenue. Reports describe what we observed at the time. The only guarantee we offer is the audit guarantee in B6.
B4. Your responsibilities. You agree to:
Delays on your side extend our timelines. If you do not respond to a request for approval within 30 days, we may treat the item as approved.
B5. Approvals. Content and changes you approve, or that are treated as approved under B4, are your responsibility once published.
B6. The audit and its guarantee. The audit delivers at least 10 prioritized fixes within 10 business days of kickoff. Kickoff is the day we have your payment, your completed intake form and the access we requested. If we miss either promise, you may ask for a refund within 14 days of the delivery date (or of the due date, if not delivered), and we will refund the full audit fee. That refund is your sole remedy for the audit. If you start a monthly plan within 30 days of delivery, the audit fee is credited to your first month and is then no longer refundable.
B7. Fees and taxes. Monthly plans are billed in advance at the start of each billing month. Audits and projects are paid in advance unless the Order says otherwise. Prices exclude taxes; you pay any applicable sales, use and similar taxes, including Washington sales tax where it applies. Pilot prices apply for your first 3 billing months and then move to the regular price unless you cancel; we remind you by email at least 30 days before. We may change monthly prices with 30 days’ notice by email.
B8. Late payment. If a payment is more than 7 days late, we may pause work and suspend our access until it is paid. Overdue amounts accrue interest of 1% per month or the highest rate the law allows, whichever is lower, plus reasonable collection costs. Deliverables are not licensed to you until they are paid for.
B9. Payment disputes. If you believe a charge is wrong, email us within 30 days of the charge and we will work with you in good faith to resolve it. Filing a chargeback without first giving us 10 business days to resolve the issue is a breach of this agreement, and we may suspend services and recover any chargeback fees.
B10. Cancellation and termination. Monthly plans continue month to month until cancelled. Either of us may cancel by email; cancellation takes effect at the end of the billing month already paid for. We do not give refunds or credits for partial months or unused services, except under B6 or where the law requires. We may end the agreement immediately if you do not pay, breach these terms, or ask us to do something unlawful or deceptive. When the agreement ends, we stop work, you remove our access, and amounts owed for work already performed remain payable.
B11. Ownership. Once paid for in full, you own the deliverables we create specifically for you, such as content, pages and reports. We keep ownership of our pre-existing materials, templates, methods, tools, prompts and know-how; where any of them are part of your deliverables, you receive a permanent, non-exclusive license to use them in your business. You always own your business data, accounts and domain names, and we never register them in our own name.
B12. Case studies. Pilot clients allow us to publish their results, business name and logo as a case study; we will send you the text to check for accuracy before we publish it. For other clients, we will name you only with your written consent. We may describe results without naming you, with identifying details removed.
B13. Confidentiality. Each of us will keep the other’s non-public business information confidential and use it only for this agreement. This does not apply to information that is public, already known, independently developed or required by law to be disclosed. Our contractors and service providers who need the information are bound by confidentiality obligations.
B14. Personal information. We handle personal information as our Privacy Policy describes, and it may be processed outside the United States. You are responsible for having the right to share any personal information you give us, such as customer contact details for review requests, and for your own privacy notices to your customers.
B15. Third-party platforms and costs. Our services rely on third-party platforms, including hosting, AI tools, tracking tools, directories and Google Business Profile. We are not responsible for their outages, changes, suspensions or decisions, including a platform suspending your listing or account, unless caused by our gross negligence or willful misconduct. Third-party costs you agree to, such as your hosting, paid listings or advertising spend, are yours to pay.
B16. Warranty disclaimer. Except as stated in B2 and B6, our services are provided “as is”, and to the fullest extent permitted by law we disclaim all other warranties, express or implied.
B17. Limitation of liability. To the fullest extent permitted by law:
These limits apply under any legal theory, even if we were told the damage was possible. They do not apply where the law prohibits them, such as liability for gross negligence or willful misconduct that cannot legally be limited.
B18. Your indemnity. You agree to defend, indemnify and hold harmless Digital Coders and its members, contractors and service providers from claims, losses, fines and costs, including reasonable attorneys’ fees, arising from: content or information you provide or approve; your products, services, business operations or advertising claims; your violation of any law or third-party right; or your breach of these terms.
C1. Governing law. Washington State law governs these terms, without regard to its conflict-of-law rules.
C2. Disputes. Before starting any legal action, the party with a complaint must email a written description of it, and both of us will try in good faith to resolve it for 30 days. After that, any dispute must be brought exclusively in the state or federal courts located in Spokane County, Washington, and both of us consent to their jurisdiction. Either of us may instead bring a claim in small claims court if it qualifies. The prevailing party is entitled to its reasonable attorneys’ fees and costs.
C3. Relationship. We are independent contractors. Nothing in these terms creates a partnership, joint venture, agency or employment relationship.
C4. Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control, including outages or changes of third-party platforms and AI tools, internet or power failures, natural disasters, war, labor disputes and government action.
C5. Assignment. You may not assign this agreement without our written consent. We may assign it to a successor in a merger, acquisition or sale of our business.
C6. Notices and electronic agreement. Notices may be given by email to the addresses on file, and to us at hello@digitalcodersusa.com. Electronic acceptance, signatures and records are binding under the federal E-SIGN Act and Washington’s Uniform Electronic Transactions Act.
C7. Changes to these terms. We may update these terms by posting a new version with a new effective date. For current clients, changes take effect at the start of the next billing month that begins at least 30 days after we email you about them.
C8. Entire agreement. These terms, the Order and our Privacy Policy are the entire agreement between us on this subject. If any provision is unenforceable, it will be enforced to the maximum extent allowed and the rest remains in effect. Not enforcing a provision is not a waiver. Sections A3, A6–A8, B7–B9, B11–B18 and Part C survive the end of the agreement.
